ICDR Regulations’ Amendments –Moving Disclosures to Discussions
The SEBI ICDR Amendment has brought about changes in (a) Promoters’ Lock-In period now is aligned to Use of Proceeds; (b) Single Ad—two days prior to the issue; (c) Expanded Disclosures: Transactions & Placements, Litigation & Agreements, Financial & Employee; and (d) Rights Issue—in Right Direction….
Big ticket item appears to be the Rights Issue. On one hand the threshold of Rs.50 Cr for applicability of the ICDR is now gone and the ICDR applies to all rights issues. However, on the other hand now the draft offer documents have to be filed with Sock Exchanges (instead of SEBI). In all of these, has Merchant Banker’s role being replaced by lawyers??
