Background :

The introduction of Companies Act, 2013 in India has completely changed the working environment of Companies and its Board of Directors. An independent Board of Directors in public listed companies is seen as an integral element of a country’s corporate governance norms. Board independence has taken on a pivotal status in corporate governance that it has become almost indispensable. Consequently, governance reforms in recent years has increasingly pinned hope as well as responsibility on independent directors to enable higher standards of governance. However, taking into consideration the corporate governance failures in India, the role of Independent Directors has taken a back seat in terms of promoting a culture of governance and ethics. In the wake of major corporate scandals, like Satyam, IL&FS, PNB, Enron, WorldCom and more, in India as well as globally, one of the factors that has been identified to be common is “failure of the Board of Directors to detect internal crisis early on and act in the timely manner to put the organization back on track before difficulties become irreversible.” 

Considering the aforementioned, we understand the criticality of the role of Independent Directors on Board and their ability to create an impactful governance system through their independent decision making capability. Training being one of the significant factors, we believe in constantly developing Director’s approach towards their fiduciary duties, responsibilities and oversight role.
